Why people use NDA Analyzer

NDAs are short documents with high-stakes clauses buried in dense prose. NDA Analyzer surfaces risk flags, missing standard clauses (mutual vs unilateral, term length, return-or-destroy), and embedded surprises like non-compete or IP-assignment language that don’t belong in an NDA. This is a triage aid — not legal advice.

Vendor / partner NDA before signing
Drop the NDA your vendor sent over, see flagged risk clauses (overly broad confidentiality scope, perpetual term, one-way info flow). Useful for the “is this safe to sign?” first-pass before forwarding to legal.
Employment / contractor NDA review
NDAs in employment contexts often smuggle in non-compete and IP-assignment clauses. The analyzer specifically flags these embedded surprises so you know what to push back on during negotiation.
M&A / due diligence NDA
Pre-deal mutual NDAs require careful term-length and exclusion-list review. The analyzer surfaces what’s standard vs aggressive in the doc you received.
Investor / fundraising NDA
NDAs from prospective investors. Common red flags: overly broad info definitions, restrictive obligations on the founder, missing residual-knowledge carve-outs. The analyzer surfaces them.
Comparing your standard NDA against a counter-party’s
Run both through the analyzer to see clause-by-clause differences. Useful for the negotiation prep where you need to know what’s being asked beyond your template.

How NDA Analyzer works

Three steps. Sign in to run, zero retention — files never persisted on our servers.

  1. STEP 1
    Drop the NDA PDF
PDF up to 25 MB. Works on Indian and international NDA templates — mutual / unilateral, employment / vendor / M&A.
  2. STEP 2
    We flag + structure
Server-side text extraction, then a pass that identifies standard NDA clause categories (definition of confidential info, term, return-or-destroy, exclusions, jurisdiction) plus non-standard insertions (non-compete, IP assignment, non-solicit). Risk flags scored low / medium / high.
  3. STEP 3
    Get a structured review
Markdown output with: standard clauses present / standard clauses missing / non-standard insertions flagged / suggested negotiation points. Page citations link each flag back to the source.

What makes pdfcraft ai different

  • Citations on every claim
Every AI summary, answer, and translation links back to the page it came from. You can verify the source before relying on the output. Hallucination is bounded, not blind.
  • Pay only for what you use
No subscription. Purchased credits never expire. Cancel anytime. Cost shown before you run — exact credit amount appears after upload.
  • Multi-provider routing, no vendor lock-in
We balance multiple AI providers per call to optimise cost and quality. If one has an outage, the next call automatically tries another. You're not bound to a single vendor's pricing or downtime.
  • Zero retention by design
Your PDF lives in memory only as long as the AI call needs it, then it's discarded — nothing is persisted to our servers. We don't fine-tune models on your data. Verifiable in your dashboard's audit log.
  • Honest about model limits
When a doc exceeds the model's context window we surface that the output was truncated (we render result.wasTruncated in every AI tool's UI). When a number can't be verified from the source we flag it. No silent failures.

Frequently asked questions

Is this legal advice?
No. The analyzer is a triage aid that surfaces clauses worth a closer look — it does NOT substitute for review by a qualified lawyer. For high-stakes NDAs (M&A, IP-heavy, large dollar value), use the analyzer to inform your conversation with counsel, not to skip it.
How does it tell standard vs non-standard?
Pre-trained on a corpus of common NDA structures. Standard clauses (term, scope, return) are recognized regardless of phrasing variation. Non-standard insertions (non-compete, IP assignment, non-solicit) are flagged by category match. Edge cases (rare but legitimate clauses) may flag as “non-standard” without being problematic — review with that in mind.
Will it work for Indian NDA formats?
Yes — Indian NDA templates (Indian Contract Act 1872 jurisdiction, Indian Stamp Act compliance) are recognized. Indian-specific clauses (Indian arbitration jurisdiction, Indian governing law) flagged appropriately. Non-Indian NDAs (US, UK, EU) also supported with their respective standard structures.
Can it suggest specific redlines?
Suggested negotiation points (“consider tightening the term to 2 years from 5”, “ask for residual-knowledge exclusion”) are surfaced — but specific redline language should come from your lawyer. The analyzer informs negotiation prep; it doesn’t draft binding language.
What’s the credit cost?
3 credits per NDA. Cost is fixed regardless of doc size.
What if a flagged clause is actually fine?
Common — the analyzer errs on the side of flagging. Review each flag in context. The point of the tool is to surface what to consider, not to label clauses as automatically problematic.

Reviewing an employment contract instead?

Employment Contract Review surfaces comp + termination + risk flags (non-compete, IP, training bond) and negotiation points specific to Indian employment agreements.
